Background

On March 2, 2026, AES announced that it had entered into a definitive agreement pursuant to which the Company will be acquired by a consortium led by Global Infrastructure Partners and EQT , together with other institutional investors, in an all-cash merger transaction.

Under the terms of the agreement, AES shareholders will receive $15.00 per share in cash for each share of AES common stock they own.

The transaction values AES at approximately $10.7 billion in equity value and approximately $33.4 billion including debt. According to the announcement, the transaction is expected to close subject to customary closing conditions, including regulatory approvals and approval by AES stockholders.
