SALES BROADLY STABLE IN Q3
INTERIORS DIVESTITURE ON TRACK FOR Q4 CLOSING
FY 2026 GUIDANCE CONFIRMED
Martin FISCHER, Chief Executive Officer of FORVIA, declared:
“The third quarter marked an improvement in our sales trajectory, supported by the strong momentum of Electronics, continued outperformance in Europe and North America and gradual progress in China. These results reflect the relevance of our technologies and the increasing value they bring to our customers.
The upcoming divestiture of Interiors is a major milestone in our IGNITE roadmap that will simplify our portfolio and significantly strengthen our balance sheet.
Across the Group, we continue to foster accountability and empower our teams to take ownership and drive performance. Combined with rigorous cost control, disciplined management of inflationary pressures and a strong focus on cash generation, this approach supports the delivery of our full-year objectives.”

Organic sales were slightly up 0.4% in Q3, representing an outperformance of 510 basis points. This was primarily driven by a strong activity of Clean Mobility, as well as continued expansion of Clarion.
Organic sales declined by 17.2% in Q3, reflecting continued weakness in production among international OEMs. At the same time, FORVIA saw encouraging progress with Chinese OEMs, notably supported by the recovery in BYD production and continued growth with Chery.
FORVIA sustained the first-half trajectory with 13.6% organic growth, supported by continued success of Clarion.

DISCIPLINED EXECUTION IN A CHALLENGING MARKET ENVIRONMENT
In a challenging environment marked by persistent cost inflation and supply chain pressures, FORVIA maintained strong operational discipline and continued to execute on its key performance improvement initiatives.
The Group remained focused on:
Offsetting cost inflation (raw materials, energy, memory chips and PCBs) through supply chain optimization, contractual indexation mechanisms and customer recoveries to secure appropriate compensation,
Delivering fixed cost reductions through the continued execution of the EU-FORWARD and SIMPLIFY programs,
Advancing the Lighting turnaround plan, with dedicated actions across R&D, industrial performance and SG&A to progressively restore competitiveness.
FINAL STEPS TOWARDS INTERIORS CLOSING IN Q4 2026
The proposed divestiture of Interiors has reached a major milestone with the receipt of all required regulatory approvals, including clearances from all relevant antitrust authorities.
The remaining pre-closing steps continue to progress according to plan. Closing of the transaction is expected in Q4 2026.
As previously communicated, the transaction will reduce net debt by more than
€1.0 billion and gross debt by more than €1.4 billion.
The full allocation of proceeds to debt reduction will materially strengthen FORVIA’s balance sheet, enabling the Group to address most of its 2027 maturities and further enhance its financial flexibility.
2026 FULL-YEAR GUIDANCE CONFIRMED
Based on S&P Mobility’s October estimates, global automotive production is expected to decline by 4.2% in the fourth quarter of 2026.
Supported by its nine-month sales performance and disciplined management of costs and inflationary pressures, FORVIA confirms its full-year 2026 guidance*:

PRELIMINARY STATEMENT ON INTERIORS DIVESTMENT (IFRS5)
On February 24, 2026, FORVIA announced its intention to divest its Interiors business. Subsequently, on April 26, 2026, the Group signed a definitive agreement with Apollo, subject to customary regulatory approvals and closing conditions.
In accordance with IFRS5 requirements, the Interiors business has been classified as a discontinued operation since December 31, 2025. Consequently, the assets and liabilities related to the business were reported as held for sale as of June 30, 2026.
As a result, the financial performance of the Interiors business is presented separately from continuing operations in the Group’s consolidated financial statements for the first half of 2026 and comparative periods.
To facilitate the assessment of the Group’s underlying financial performance and balance sheet trajectory, FORVIA also provides selected indicators, notably net debt and leverage, on a pre-IFRS5 basis, as the expected proceeds from the transaction are not reflected in IFRS5 net debt figures prior to closing.

Sales growth
FORVIA’s year-on-year sales evolution is made of three components:
As “Scope effect”, FORVIA presents all acquisitions/divestments, whose sales on an annual basis amount to more than €250 million.
Other acquisitions below this threshold are considered as “bolt-on acquisitions” and are included in “Growth at constant currencies”.

Adjusted EBITDA
In compliance with the ESMA (European Securities and Markets Authority) regulation, the term “Adjusted EBITDA” has been used since January 1, 2022.
Net cash flow
Net cash flow is defined as follows: Net cash from (used in) operating and investing activities less (acquisitions)/disposal of equity interests and businesses (net of cash and cash equivalents), other changes and proceeds from disposal of financial assets, and new or extended leases. Repayment of IFRS 16 debt is not included.
Net financial debt
Net financial debt is defined as follows: Gross financial debt less cash and cash equivalents and derivatives classified under non-current and current assets. It includes the lease liabilities (IFRS 16 debt).
