Director Declaration

Ocado Group plc (" Ocado Group " or the "Company") announces that Julie Southern , an Independent Non-Executive Director of the Company, has been appointed as a Non-Executive Director and Senior Independent Director of Johnson Matthey with effect from the conclusion of the Johnson Matthey Annual General Meeting on 16 July 2026. Julie will also become a member of the Audit Committee and Nomination Committee of Johnson Matthey upon her appointment to that board.

The Board of Ocado Group has considered Julie Southern 's commitments and is satisfied that she has sufficient time to continue to fulfil her responsibilities as an Independent Non-Executive Director of the Company.

This notification has been made in accordance with UK Listing Rule 6.4.9R (2).
