Today, CompuGroup Medical SE has published the invitation to the purely virtual AGM on May 13, 2020. To protect AGM participants and employees against the background of the progressing spreading of COVID-19, the Management Board and Supervisory Board decided to hold this year's AGM without the physical presence of shareholders and their proxies. Thus, the AGM can take place on May 13, 2020 as planned, and a delayed payment of the dividend of EUR 0.50 on the prior year level can be avoided. The agenda comprises in addition to the dividend payout, inter alia, the discharge of the Management Board and the Supervisory Board, the appointment of the auditor, elections to the Supervisory Board and a change of legal form into a partnership limited by shares (KGaA/Kommanditgesellschaft auf Aktien). The decision is based on the corresponding law to fight the impact of the COVID-19 pandemic. After timely registration, shareholders can follow the AGM via a password protected investor portal on the company website and make use of their voting rights inter alia via electronic vote or by electronic way of proxy to the designated company representatives.
