Vermillion, Inc. Announces Pricing of $15 Million Public Offering of Common Stock

AUSTIN, Texas, June 26, 2019 (GLOBE NEWSWIRE) -- Vermillion, Inc. (Nasdaq: VRML) (“Vermillion”), a bioanalytical-based women’s health company focused on gynecologic disease, today announced the pricing of the previously announced underwritten public offering of 18,750,000 shares of its common stock at a price to the public of $0.80 per share. In addition, Vermillion has granted the underwriter a 30-day option to purchase up to an additional 2,812,500 shares of common stock at the public offering price, less underwriting discounts and commissions. All of the shares are being offered by Vermillion. The offering is expected to close on June 28, 2019, subject to customary closing conditions.

William Blair & Company, L.L.C. is acting as sole bookrunner for the offering.

Gross proceeds from the offering are expected to be $15 million, or $17.25 million if the underwriter exercises its option to purchase additional shares in full, before deducting underwriting discounts and commissions and estimated offering expenses payable by Vermillion. Vermillion intends to use the net proceeds from the offering for working capital, general corporate purposes and additional commercial investment, including investing in sales and marketing capabilities, additional key strategic hires and product portfolio expansion.
